Are you looking for an investment lawyer in The Netherlands?

You are keen on investing in or setting up a Dutch start-up, scale up or more mature type of business. I can guide you in this process from start to finish. I will add value to your investment by advising you on how to best structure your deal and whether your go-to terms work under Dutch law.

Investing in The Netherlands

Legalloyd can help you in each phase of your investment. We have a proven track record in advising on investments in The Netherlands.

At the start of your investment
If you are planning on investing or doing business outside of your own jurisdiction you will become dependent on local partners. You need advisers that are experienced and trustworthy. We get a kick out of being your business adviser first, legal adviser second. We have a knack for making Dutch set-ups and terms accessible and insightful.

We can help you with:

  • Strategy: Strategic advice on structuring your investment or helping you choose the best corporate structure for your deal under Dutch law
  • Negotiations: Negotiating on your behalf in investment rounds (Informals, Seed Round, Series A)
  • Due diligence: setting up or performing due diligence in the target company
  • Drafting: drafting all relevant deal documentation including term sheets, investments agreements, shareholder agreements and convertible loans
  • Employee participation: Designing and drafting management or employee participation plans (equity, Stock Appreciation Rights, option agreements)

During the lifecycle of your investment
Your investment will require active management when the deal is done. You will have a role to play probably, as (advisory) board member or as shareholder. These roles come with certain legal responsibilities. Especially in conflict situations it is essential to get good guidance on topics such as board members’ liability, information rights and interaction with other stakeholders.

We can help you with:

  • Corporate governance: advising on your specific role within the company’s governance, e.g. as board member, advisory board member or supervisory board member
  • Board members' liability: advising on your potential liability as (supervisory) board member
  • Litigation: representation in Dutch courts and specialized court cases (Dutch Enterprise Chamer, Ondernemingskamer)

The end of your investment
In case of an exit you will hopefully get your return on investment. Unfortunately, some investments fail. In that case, you will need advice on your rights and obligations towards the company, (other) creditors and the Tax Authorities. Sometimes bankruptcy can be avoided, but this requires proactive and timely management of stakeholders.

We can help you with:

  • Exit scenario's: analysis of your rights under existing terms, negotiations with potential buyers and shareholders, drafting documentation
  • Restructuring and bankruptcy: mitigating risks and recovery
  • Board members liability: advising on your potential liability as (supervisory) board member

About Sjors Dobbelaar

I've been a lawyer since 2010 and since 2015 one of the co-founders of Legalloyd. It is a sport for me to combine the classical legal profession with progressing and advancing technologies. I'm proud to say that Legalloyd is one of the frontrunners of the Netherlands.

I advise start-ups, scale-ups and grown-ups. I help with financing, corporate structures, shareholder relations, and when things go wrong, with restructuring and bankruptcies. I have just as much fun with a financing round of a couple of hundred thousand as with a few million. I don't affiliate much with the status quo, and while it may sound odd, I do not believe in "standard".

I started my career as a lawyer at Freshfields, an internationally operating office, at the financing practice. After almost five years the field of entrepreneurship beckoned me, and as such I landed at Legalloyd.

In the register of legal areas of the Dutch Bar Association, I have the following main- (and sub) legal areas registered:

  •  Corporate law (main legal area)
  • Mergers and acquisition
  • Directors' liability
  • Companies

On the basis of this registration, I am required to acquire 10 training credits on every registered legal area, in accordance with the Dutch Bar Association.
