Important tips
One-way provision of information
Is it clear that one party provides confidential information and the other party receives that confidential information (and therefore does not provide confidential information itself)? Then it is advisable to draw up a one-way non-disclosure agreement.
Be speficic!
Make sure that in the non-disclosure agreement you are sufficiently specific about the subject that must remain confidential. In practice, it sometimes happens that the parties - roughly speaking - have to keep everything confidential. A judge will then rule that the non-disclosure agreement has been drafted too broadly, making it difficult for the judge to determine what information in particular must remain confidential.
