You agree on what information is confidential, the purpose for which the information is provided and what the party receiving the confidential information may and may not do.

Why do I need it?
In this non-disclosure agreement, only information from one party is confidential, and that from the other party is not. This often means that the party receiving the confidential information has a duty of confidentiality. This happens for example with companies that only provide confidential information and do not receive relevant or confidential information from the other party.

Important tips
Mutual provision of information
Do you want both parties to keep each other's confidential information confidential? If so, it is better to draw up a mutual non-disclosure agreement.
Be speficic!
Make sure that in the non-disclosure agreement you are sufficiently specific about the subject that must remain confidential. In practice, it sometimes happens that the parties - roughly speaking - have to keep everything confidential. A judge will then rule that the non-disclosure agreement has been drafted too broadly, making it difficult for the judge to determine what information in particular must remain confidential.
Preparatory phase
This agreement is intended to be used during the preparatory phase of certain other agreements. It is normal to include a provision in agreements that confidential information must be kept confidential and therefore it is (often) not necessary to draw up a separate agreement for this. During negotiations, it may happen that business-sensitive information is put on the table, which one of the parties does not want to be disclosed. That is what this agreement is meant for.
Do you still want a non-diclosure agreement, but already have an agreement with the person who has to keep certain things secret? Then this agreement is also suitable, but some adjustments will have to be made.
