What is it?
The general terms and conditions for SaaS set out the conditions under which you offer a Software-as-a-Service. SaaS means that a software can be offered and used by means of a customer's internet access. You offer the user a license to use your software, usually without any installation on a device being required. In your general terms and conditions, you can specify among other things:
- how it works;
- account management and user obligations;
- payment obligations;
- maintenance of the software;
- intellectual property; and
- non-disclosure agreements.
Why do I need it?
With these terms you set out the ground rules for using your services. It limits your liabilities and sets out what is included in the services and what is not. These terms are written in plain English, informs the user and protects you as SaaS provider.
You can use these terms as stand-alone terms or combine them with our SaaS User Agreement if you need to make specific agreements with individual users.

Important tips
How to make your terms legally binding for your customers.
These general terms are not signed by you and your customer, you simply offer them and the user can accept or refuse them.
You do not have to physically offer the terms. A checkbox with an opt-in to agree with terms in your onboarding is sufficient to create binding agreement with your user. Beware: We recommend that you do this before the user starts using your services. A simple reference on your website to the terms does not create a binding agreement. This is a common mistake.
Supplement your terms with a Service Level Agreement and SaaS User Agreement.
Depending on your business, you can offer a separate Service Level Agreement (SLA) for further development, maintenance and support of the software. A SaaS User Agreement covers specific agreement between you and one specific customer.
Privacy!
SaaS application usually process lots of personal date. If so, you will also need a privacy policy and a data processing agreement.
Personal data includes for example names- and address details. Do you collect any personal data? Then you are under a legal obligation to also draft a Privacy Policy. Do your clients also use your software to store the data of end-consumers? Then you are also obligated to conclude a data processing agreement. Beware: These are two separate agreements that cannot be included in your user agreement.
