What is it?

With a deed of transfer for IP-rights, the intellectual property connected to one or more pieces of work is transferred from one party to another. Intellectual property is an umbrella term for all property rights relating to intellectual creations such as books, photos or discoveries.
For such a transfer, next to this deed, no other acts are needed. You can use this deed if you are the transferor or the transferee (the new owner of these rights).
In this deed, among other things, the following is included:

  • who the parties are;
  • what kind of intellectual property is transferred;
  • what forms the basis for the transfer of the intellectual property; and
  • on which date the property will be transferred.

Why do I need it?

Before the intellectual property can lawfully be transferred from one party to another, it is required by law that this is done by means of a signed deed. With this deed you:

  • Are sure that ownership has been transferred.
  • Prevent future conflicts because your agreement to transfer these rights has been properly transferred

Important tips

Both parties must sign this deed
If this does not happen, the ownership has not been transferred in accordance with the law.

Personality rights (such as name mentioning or destruction) cannot be transferred, but the owner can renounce these rights, consequently the IP-rights can be used freely
The transferor cannot renounce his right to take action against parties destroying the work. This deed therefore specifies that the Transferor cannot make use of his right in relation to the transferee.    

You do not have to transfer all the IP-rights at once
It is also possible to give someone a right of use. This can be done through a license (see the related document).

Legal explanation

The transfer of the property must happen in writing. Only when both the transferor and transferee have signed the deed it is valid.
